TapTools Terms of Service

TAPTOOLS LLC (“TapTools,” the “Company,” “we” or “us”) maintains and operates a blockchain analytics application that runs on the Cardano blockchain. TapTools and any services available at taptools.io (the “Site”) or affiliated online or electronic resources or applications that we provide (collectively, the “Services”) are offered for use solely under the terms and conditions of service herein described (these “Terms”).

Acceptance and Effectiveness of these Terms:

By accessing the Site or using any of the Services (including by creating an account), you warrant that you have reviewed these Terms, including our Privacy Policy, available at taptools.io/policy and that you understand them and will abide by them. If you are between the ages of 13 and 18 years old, you further warrant that you have reviewed these Terms with your parent or legal guardian (if you are under 13 years old, you are prohibited from accessing the Site or using any Service for any reason). You further warrant that you have the legal capacity to enter into a legally binding agreement with us or, if you are under 18 years old, you have your parent’s or legal guardian’s permission to access and use the Site and any Services, and they have agreed to these Terms on your behalf. Please immediately cease using the Site and any Services if you do not agree to these Terms. If you are a parent or legal guardian permitting a person who is at least 13 years old but under 18 years old (a “Minor”) to create an account and/or use the Site, you agree to: (i) supervise the Minor’s use of the Site and their account; (ii) assume all risks associated with, and liabilities resulting from, the Minor’s use of the Site and their account; (iii) ensure that the content on the Site is suitable for the Minor; (iv) ensure all information submitted to us by the Minor is accurate; and (v) provide the consents, representations, and warranties contained in these Terms on the Minor’s behalf.

Creating an Account:

You are not required to create an account in order to browse and use the Site; however, some of our Services are only available to registered users with an active account. When applying for an account, it is your responsibility to ensure that all information you provide to us is accurate and current. You are responsible for immediately updating your account with any changes to your information. We are not responsible for any losses due to incorrect, incomplete, or outdated information supplied by you.

Limited License:

We grant you a non-exclusive, non-transferable (except with our written permission), non-sublicensable (except as otherwise permitted under these Terms), personal, and revocable license to access and use the Services in accordance with these Terms. All transactions that occur on or are executed by the Services are validated and confirmed via the Cardano blockchain. You understand that your Cardano public address will be made publicly visible whenever you engage in a transaction via any Service. You may be required to download, install, or use third-party services (such as Yoroi, Daedalus, Nami, Typhon, etc.) to use a Service. You acknowledge and agree that you may not be able to use all features or all Services if you do not use these third-party services.

Prohibited Acts:

You agree to access and use the Services only in accordance with these Terms, and you will ensure that any third party or parties accessing or using the Services at your direction, on your behalf, or under your supervision abides by these Terms. You (including any third parties acting by or through you) shall not use any Services in any manner that is deceptive, fraudulent, or harmful to other users or TapTools. This includes, without limitation, using third-party software (e.g., injecting the software into an application or other Service) to gain an unfair advantage or automate aspects of any Service or of your interface with any Service, creating and using multiple accounts, sharing your account, participating in win trading or wash trading with other users, and otherwise acting contrary to the spirit of the Services. For clarity, a breach of this clause will be considered a material breach of these Terms and may result in immediate suspension or termination as described below.

Pricing, Payments, and Disclaimers for Specific Products and Services:

TapTools Pro Subscription Service:

This service provides access to TapTools Pro for 489 days, beginning on August 30, 2024, and ending on December 31, 2025. The subscription is sold at a supply of 4,000 NFTs for 420 ADA each, with the sale starting on August 30, 2024, at 19:00 UTC. After the initial sale, pricing will be dynamically set by the secondary NFT marketplace. TapTools LLC disclaims any responsibility for financial loss or gain incurred through secondary market dynamics. Subscribers should refer to the Tappy02 Terms of Sale for additional details.

TapTax Subscription Service:

TapTax offers two plans under this service:

  • Individual Plan: Priced at $199 for a one-time export, with a discounted rate of $149 for Tappy02 NFT holders.
  • Business Plan: Available at $399, without discounts.

However, due to the subsidy from Project Catalyst Fund 12, both the Individual and Business Plans will be available for free to all users for a period of 9 months, starting on September 1, 2024, and ending on June 1, 2025. After this period, the standard pricing will resume. The TapTax Terms of Sale provide further specifics, including service limitations and renewal protocols.

OpenAPI Access:

Access to our OpenAPI is available under a tiered pricing model, with detailed provisions outlined in the API Terms. TapTools LLC does not guarantee uninterrupted service and disclaims liability for any losses due to service downtime or API limitations.

Token Aggregator Service (DexHunter):

Taptools LLC, in partnership with DexHunter, offers a token aggregator service integrated into the TapTools website, subject to a fee. Users are solely responsible for reviewing all applicable fees prior to engaging in any token-swapping activities. By using this service, users expressly acknowledge and agree to comply with DexHunter’s terms and conditions, available on their official website. Taptools LLC disclaims any liability for any losses, damages, or other consequences arising from users’ engagement with DexHunter’s services, including but not limited to trading activities, the creation of tokens, or the use of any related third-party platforms or software. Users assume all risks associated with these activities.

Trading Service (snek.fun):

Taptools LLC, in partnership with the Snek Foundation, offers users the ability to create tokens and execute trades directly through the snek.fun platform, integrated into the TapTools website and subject to a fee. Users are responsible for reviewing all applicable fees prior to engaging in any token-swapping activities. By using the snek.fun trading service, users agree to adhere to the Snek Foundation’s terms and conditions, available on the official snek.fun website. Taptools LLC disclaims any liability for any losses, damages, or other consequences arising from users’ engagement with snek.fun services, including but not limited to trading activities, the creation of tokens, or the use of any related third-party platforms or software. Users assume all risks associated with these activities.

Update Token Information:

Customers may update their token information at a cost of 300 ADA for the initial submission and an additional 200 ADA to include circulating supply and market cap information, for a total package price of 500 ADA. These prices are subject to modification at the sole discretion of Taptools LLC. Each update is governed by the update token information terms which outline the scope, limitations, and conditions of such updates. Please note that the submission and display of updated token information does not constitute verification or endorsement by Taptools LLC. Taptools LLC disclaims any liability for the accuracy, reliability, or legality of the information displayed. Additionally, Taptools LLC does not promote or validate the legitimacy of any tokens displayed on the platform, and users assume all risks associated with interacting with these tokens. Consequently, the accuracy of the reported market capitalization, which is derived from the circulating supply, cannot be guaranteed. Users are advised to conduct their own research before making any investment decisions based on the circulating supply or market capitalization data presented on our platform.

Advertising:

Advertisers can promote their products or services on our website at a minimum rate of $1,000 per week. Advertisers are solely responsible for ensuring that their advertisements comply with all applicable laws, regulations, and industry standards. Taptools LLC reserves the right to review and approve all advertisements before they are published, but assumes no liability for the content, accuracy, or legality of the advertisements.

Taptools LLC is not responsible for the content, accuracy, or practices of the advertised products or services. Interaction with any advertisements, including any resulting transactions or use of advertised products or services, is solely between the user and the third-party advertiser. Advertisers must review the advertising agreement, which outline the requirements, specifications, duration, and payment terms for advertisements.

Taptools LLC disclaims any and all liability for any losses, damages, or legal issues arising from or related to the advertisements published on our platform. By submitting an advertisement, advertisers agree to indemnify and hold Taptools LLC harmless from any claims, liabilities, or damages resulting from their advertisements, including but not limited to intellectual property infringement, defamation, or false advertising.

Boost Feature:

TapTools LLC offers a Boost Feature to enhance the visibility of tokens on the platform. By purchasing a Boost, users can increase their token’s exposure across various sections of the platform, including the live ticker, search dropdowns, homepage, and token chart pages. Each Boost costs 300 ADA for a 30-day period, with the option to extend in 30-day increments for up to 12 months. Payments can be made in ADA or USD via Stripe, with rates based on prevailing exchange rates. TapTools does not endorse, verify, or authenticate the legitimacy of boosted tokens, and the Boost Feature is for visibility purposes only, without guarantees of improved rankings, performance, or trading volume. TapTools reserves the right to modify or remove the Boost Feature at its discretion and may revoke Boost privileges without refund in cases of misuse or violations of the Terms. Users are solely responsible for their transactions and acknowledge that TapTools disclaims all liability for losses, damages, or other consequences related to the Boost Feature. Communication:

TapTools may facilitate a communication server or other forums on which you are able to communicate with others. You agree to limit your contributions to any such forum or server to topics that are relevant to The Services. You acknowledge and agree that you are not permitted to send any communication that contains foul language, illegal material, defamatory comments, business advertisements, spam, religious debates, comments that incite fear, and/or any form of abuse, insults, or personal attacks. We reserve the right to remove any communication that we, in our sole discretion, deem to be inappropriate or harmful, and to prevent you from further participation in such communication methods.

Additional Restrictions:

You must not access or use the Services unless you reside in and are located in a jurisdiction that does not restrict or prohibit the Services, and then only as permitted by these Terms. Further, you must not and must not permit any other person to: (i) use the Services in violation of applicable laws, (ii) infringe upon any person’s intellectual property rights, (iii) use the Services to transmit defamatory, offensive, or illegal material, or (iv) engage in activities that disrupt or harm the functionality of the Services or other users’ experience. You also agree not to engage in any form of security breaches or introduce malicious software into our systems.

Third Parties:

You acknowledge and agree that the provision of our Services may be contingent on, or impacted by, various third parties, other customers’ use of our services, suppliers, or subcontractors, collectively referred to as ‘Third Party Inputs.’ Despite anything to the contrary, to the maximum extent permitted by law, we will not be responsible for, and will have no liability for, any default or breach of these Terms or law if such default or breach was caused or contributed to by any Third Party Inputs.

Intellectual Property Rights:

All intellectual property rights in the Services, including any adaptations, modifications, or creations developed by us or our agents, will remain the exclusive property of Taptools LLC or our third-party service providers. You may not copy, modify, distribute, or make derivative works from any of our intellectual property without express written permission.

Liability:

Despite anything to the contrary, to the maximum extent permitted by law: Taptools LLC’s aggregate liability for any claim arising from or in connection with these Terms is limited to the portion of the service fees paid by you for the specific claim. Taptools LLC will not be liable for any indirect or consequential losses, nor will we be liable for issues arising from third-party platforms, including secondary marketplaces.

Data Privacy Compliance:

Taptools LLC is committed to protecting your personal data in accordance with applicable laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). For more information on how we handle your data, please refer to our privacy policy. Users have the right to access, rectify, and erase their data, and to exercise their privacy rights under applicable laws.

Force Majeure:

Taptools LLC shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, internet outages, or other acts or occurrences that are beyond our control. In the event of such a delay or failure, performance of the obligations shall be suspended for as long as the event persists.

Third-Party Links and Content Disclaimer for Recently Updated Tokens:

TapTools LLC provides access to third-party links for user convenience but assumes no responsibility or liability for the content, accuracy, safety, or reliability of any third-party websites, services, or information. Users interact with third-party links at their own risk and should exercise due diligence before engaging with any external content. TapTools LLC disclaims all liability for any losses, damages, scams, fraudulent schemes, or other harmful outcomes resulting from the use of third-party links on our platform. Users are encouraged to report suspicious links, but TapTools LLC is not obligated to take any action regarding third-party content.

Governing Law and Dispute Resolution:

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in Sheridan, Wyoming. The parties hereby waive their right to a trial by jury in any legal proceeding arising out of or relating to these Terms.

Jurisdictional Compliance:

While these Terms are governed by the laws of the State of Wyoming, users accessing the Services from outside Wyoming or the United States are responsible for compliance with local laws and regulations. If local laws impose additional requirements or provide additional rights that conflict with these Terms, such provisions shall prevail over these Terms to the extent required by law.

Severability:

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under the law.

General:

  • Functionality: We reserve the right at any time and from time to time to change or remove features of any Service.
  • Interpretation: In these Terms, unless the context otherwise requires: the singular includes the plural and vice versa; headings are for convenience only and do not affect interpretation; a reference to these Terms or any other document includes the document, all schedules, and all annexures as novated, amended, supplemented, varied or replaced from time to time; if any act which must be done under these Terms is to be done on a day that is not a Business Day then the act must be done on or by the next Business Day; the word “month” means calendar month and the word “year” means 12 months; the words “in writing” include any communication sent by letter or email or any other form of communication capable of being read by the recipient; a reference to any legislation or law includes subordinate legislation or law and all amendments, consolidations, replacements or re-enactments from time to time; includes and similar words mean includes without limitation; a reference to $ or dollars refers to the currency of the United States from time to time; a reference to any agency or body, if that agency or body ceases to exist or is reconstituted, renamed or replaced or has its powers or functions removed (defunct body), means the agency or body that performs most closely the functions of the defunct body; and no clause will be interpreted to the disadvantage of a Party merely because that Party drafted the clause or would otherwise benefit from it.

Entire Agreement:

These Terms constitute the entire agreement between you and Taptools LLC concerning your access to and use of the Site and Services. They supersede all prior agreements, understandings, or representations, whether written or oral, regarding the subject matter.
